THE INTEL® OPEN VISUAL CLOUD HACKATHON IS A SKILL-BASED CONTEST.

THIS CONTEST SHALL BE CONSTRUED ACCORDING TO AND GOVERNED EXCLUSIVELY BY U.S. LAW.
VOID WHERE PROHIBITED OR RESTRICTED BY LAW OR WHERE BONDING, REGISTRATION OR OTHER STIPULATIONS WOULD BE REQUIRED OR WHERE THE METHODS OF ENTRY SET FORTH BELOW WOULD BE DEEMED CONSIDERATION.

1. ELIGIBILITY: This Intel Open Visual Cloud (OVC) Hackathon (the “Hackathon” or “Contest”) is open only to individuals (natural persons) who are at least 18 years of age and legal age of majority in their jurisdiction of residence at time of entry. Void in all countries embargoed by the United States and where prohibited or restricted by law. Intel Corporation (the “Sponsor”), Iron Horse Interactive (the “Administrator”), their parent companies, affiliates, subsidiaries, promotion agencies, including Marden-Kane, Inc., and each of their respective directors, officers, employees and assigns (collectively “Released Parties”) and their immediate family members and/or those living in the same household of each (whether related or not) are not eligible. For purposes of this Contest the term “family member” is defined as spouse, partner, parent, legal guardian, in-law, grandparent, child, or grandchild. Also, ineligible to participate are any individuals who are under any obligation, contractual or otherwise, that would prohibit them from accepting a prize. Entrants must comply with any employer rules or requirements, if applicable, regarding participation.

Notice to all international entrants: This Contest is governed exclusively by U.S. law. It is your responsibility to comply with the promotion laws of your country/jurisdiction. You acknowledge that certain countries/jurisdictions have laws that may prohibit the Administrator from awarding you a prize. If you participate in this Contest and the country/jurisdiction in which you reside has such restrictions, you acknowledge that you may not be able to receive any prize at all from Administrator. By participating in this Contest, you acknowledge the risks, and understand that you may not be able to receive a prize.

2. AGREEMENT TO THESE OFFICIAL RULES: Participation in this Contest constitutes entrant’s full and unconditional agreement to and acceptance of these Official Rules and Administrator’s decisions which are final and binding. Determination of winners is subject to verification of eligibility as noted herein and receipt of a prize is contingent upon fulfilling all applicable requirements set forth herein.

3. KEY DATES: The Hackathon begins at 12:00:01 AM Pacific Time (“PT”) on January 11, 2021 and ends March 26, 2021 at 11:59:59 PM PT (the “Entry Period”). There are a series of Hackathon related events which will start and end on or about the dates noted in the events calendar below:

All dates and times are 2021 Pacific Time (PT). Administrator’s database clock is the official timekeeping device for this Hackathon. Entrants are solely responsible for determining the corresponding time zone in their respective jurisdictions.

4. HERE’S HOW IT WORKS: To participate in this Contest, you must be a member of the Intel® developer community site, DevMesh. If you are not a DevMesh member, visit the Devmesh website to create a profile. DevMesh membership is free. By submitting your information and creating a DevMesh profile, you agree to Intel’s terms of use and privacy notice as outlined on the Devmesh website. If you do not agree to such terms of use and privacy notice you cannot create a respective account, or participate in this Contest.

To enter, you will need to develop a solution that solves a business problem using the Open Visual Cloud (OVC) software stacks and reference pipelines. Your entry must include a 3-5 minute video that features your project solution. Your video should be uploaded on YouTube and follow the steps below to submit your entry so it is received by 11:59 pm PT on March 6, 2021.

You may collaborate with other individuals on your Entry; however, prizes will be awarded solely to the person whose name/email is listed on the registration form. Entrants may submit up to 3 entries. Limit one prize per person.

Participants must comply with all Entry requirements, Conditions of Entry and the instructions provided in the Hackathon registration confirmation email (which are incorporated herein by reference). Determination of compliance will be in the sole discretion of the Administrator, whose decisions are final.

Conditions of Entry

  1. Entries must be received by 11:59:59 PM PT on March 26, 2021.
  2. Entry must be entrant’s original OVC-based solution.
  3. Entry must not, infringe on the intellectual property rights of any third party, including but not limited to, copyrights or trademarks owned by others.
  4. Entry must not communicate messages inconsistent with the messages, policies, and/or goodwill with which the Sponsor wishes to associate, as determined in the sole discretion of the Sponsor.
  5. Content submitted cannot contain material or any element that is unlawful, or otherwise violate any applicable federal, state, and/or local laws, rules, treaty or regulations.
  6. Entry must not contain confidential/trade secrets or proprietary information or violate the terms of Entrant’s employment.
  7. By entering, Entrant represents and warrants that (i) he/she has obtained all of the necessary rights, licenses, and permissions from any person who may have helped or participated in the creation of the submission; (ii) that the Entrant has the right/permission to agree to these Official Rules and to grant the rights referred to in these Official Rules (free from any encumbrances and/or third-party rights); (iii) that the Entry conforms to these Official Rules, and is not subject to any third party agreement(s); and (iv) that the Sponsor or its agencies will not be required to pay or incur any sums to any person or entity, including without limitation, any copyright collecting societies or holders of copyrights, neighboring rights, or moral rights, or to persons representing such, as a result of Sponsor’s (or it’s agent’s) use or exploitation of entry materials or rights therein.
  8. viii.By entering, Entrant expressly grants Sponsor certain rights to use the Entry in marketing and promotion.
  9. By entering, Entrants acknowledge compliance with these Official Rules including all Conditions of Entry.

Administrator reserves the right to disqualify any Entry for any reason, in its sole and absolute discretion, including the determination that an Entry fails to satisfy any of the Entry Requirements, Conditions of Entry, or is inconsistent with the goals, image, or policies of the Sponsor. No part of an Entry will be returned. Any Entry not submitted in accordance with the instructions provided will not be considered for the Contest, and none of the Released Parties shall bear any responsibility for any such Entry.

5. JUDGING AND WINNER DETERMINATION: Entries received will be judged by representatives of the Sponsor to determine three (3) winners. All judging will be based on the following criteria, each carrying equal weight: Applicability to real-world usage; Use of Intel® Open Source technology (OVC software stacks and reference pipelines); and Completeness of the Project. Sponsor and Judges' decisions are final and binding on all matters relating to the Contest.

6. NOTIFICATION AND VERIFICATION PROCESS: Potential winners will be notified via email. The Entrant named on the potential winning Entry will be required to return to Administrator within seven (7) days of notification a completed Affidavit of Eligibility/Liability Release and where legal, Publicity Release. Potential winners may be required to provide additional documentation in order to validate eligibility and/or execute additional documentation regarding the use of the Entry materials. If it is determined that any Entry has not complied with these Official Rules, Administrator is unable to contact a potential winner within a reasonable period, potential winner has failed to properly execute and return any required documents within the specified time period, or has made false statements, or if a potential winner declines the prize, then such Entry will be disqualified and the Entry with the next highest score will be notified. Administrator reserves the right to disqualify any potential winner at any time, in their sole discretion, in the event circumstances arise that would constitute a breach of these Official Rules or otherwise. If you are entering on behalf of your employer, these Official Rules are binding on you and your employer, and your employer has consented to your Entry and your potential receipt of a prize. It is Entrant’s sole responsibility to comply with his/her employer’s gift policies. Sponsor will not be party to any disputes or actions related to this matter.

7. PRIZES: All prize values are stated in US Dollars (USD).

One (1) First Prize - $1,500 USD; One (1) Second Prize - $750 USD; and One (1) Third Prize - $500 USD. Winners will also be provided access to Open Visual Cloud developers to further develop their application towards commercialization. All federal, state, local, provincial, and other tax liabilities (including income and withholding taxes) and any other taxes in connection with receipt of a Prize will be the responsibility of the winners. Winners of prizes valued at USD $600 or more who are legal residents of the United States will be issued a 1099 for the value of the prize as stated herein. If there is any restriction to receiving a prize in the country of a winner, an alternate prize may be provided. No transfer or substitution of prize by winner permitted. Administrator reserves the right to substitute a prize in whole or in part, of equal or greater value, if such prize cannot be awarded. All costs and expenses associated with prize acceptance and use not specified herein are the sole responsibility of the winners.

8. GENERAL CONDITIONS: All federal, state, provincial and local laws and regulations apply. All submitted information is subject to verification. Sponsor may assign, delegate, subcontract, or transfer any of its rights or obligations hereunder and may authorize any direct or indirect affiliate of Sponsor to act as Sponsor’s agent for purposes of this Agreement, including fulfillment of prizes. In the event of a dispute as to the identity of an Entrant, the Entry will be deemed to have been made by the registered account holder of the e-mail address provided on the Hackathon registration form. A registered account holder is defined as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. If a dispute cannot be resolved to Administrator’s satisfaction, the Entry in question may be disqualified in Administrator’s sole discretion. In addition, Administrator has no obligation to permit entry or award a prize if doing so would violate the policies or is prohibited by United States or other applicable laws, including but not limited to laws regarding (a) trade embargoes, (b) government sanctions or export restrictions against countries, entities, or individuals, or (c) dealings with officials or representatives of non-U.S. governments. Administrator’s determination that an entrant is (or is not) legally prohibited from entering or receiving a prize will be conclusive, and Administrator shall have no liability to any entrant or any other person in connection with such determination.

9. LIMITATIONS OF LIABILITY: Entrants producing and submitting materials for consideration in this Contest will do so without compensation and at their own risk. By entering, all participants, including but not limited to each Entrant, and other participants that may collaborate on an Entry, release, discharge and hold harmless Released Parties from any and all liability or any injuries, loss, or damage of any kind (including damages caused or claimed to be caused) arising from or in connection with this Contest, the use of any Contest Entry, or the acceptance or use of any Prize. Released Parties are not responsible or liable for any of the following: (a) electronic transmissions, Entries that are late, incomplete, inaudible, illegible, damaged, garbled, destroyed, misdirected or not received by Adminstrator or its agents for any reason; (b) Any problems or technical malfunctions, errors, omissions, interruptions, deletions, defects, delays in operation or transmission, communication failures and/or human error that may occur in the transmission, receipt or processing of Entries or related materials; or for destruction of or unauthorized access to, or alteration of, Entries or related material; (c) failed or unavailable hardware, network, software or telephone transmissions, damage to any person’s computer and/or its contents related to or resulting from participation in this Contest; or (d) causes beyond Adminstrator’s reasonable control that jeopardize the administration, security, fairness, integrity or proper conduct of this Contest; (e) any printing errors in these Official Rules, the sites used to administer this Contest, or in any advertisements, materials, or correspondence in connection with this Contest; or (f) any copyright, trademark, patent, trade secret, or other intellectual property misappropriation or infringement attributable to Entrant/or any Entry submitted. Administrator reserves the right, in its sole discretion, to cancel, modify or suspend this Contest should virus, bugs, fraud, hacking, or technical difficulties compromise the integrity of the Contest, or if other causes beyond the control of the Administrator corrupt the administration or security of the Contest. In such cases, notice to this effect will be posted on the Contest Site and the eligible Entries received prior to cancellation, modification, or suspension or as otherwise deemed fair and appropriate by Sponsor may be judged to determine winners. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, ADMINISTRATRATOR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.

10. OWNERSHIP OF ENTRY/GRANT OF RIGHTS: The Entrant will retain ownership of all intellectual and industry property rights in all materials submitted to the Contest. However, by submitting an Entry, Entrant waives all rights that may preclude Sponsor from using Entry and related materials or information. Submission of an Entry grants Sponsor, its agencies, and affiliate companies, to the extent allowed by law, the irrevocable right to use, publish, adapt, assign, edit, dispose of, and/or modify such Entry and the concepts embodied therein in any way, in commerce and in any and all media worldwide, without limitation or compensation to the Entrant or his/her affiliated Partner Company. By submitting an Entry and/or accepting a prize, Entrant/Winner gives permission for the Sponsor and its designees to use the Entrant’s/Winner’s name, voice, actual or simulated likeness, Entry and biographical information along with the names of the entities named on their Entry (including, without limitation, for advertising and promotional purposes) in perpetuity, throughout the universe, in all media whether now known or hereafter devised, without further review, notice, approval or compensation unless prohibited by law.

11. GOVERNING LAW/JURISDICTION: All foreign, international, federal, state, and local laws and regulations are applicable. THE DELAWARE COURTS (STATE AND FEDERAL) SHALL HAVE SOLE JURISDICTION OF ANY CONTROVERSIES REGARDING THE CONTEST AND THE LAWS OF THE STATE OF DELAWARE SHALL GOVERN THE CONTEST. EACH ENTRANT WAIVES ANY AND ALL OBJECTIONS TO JURISDICTION AND VENUE IN THOSE COURTS FOR ANY REASON AND HEREBY SUBMITS TO THE JURISDICTION OF THOSE COURTS. Claims may not be resolved through any form of class action. Entrant agrees that any and all claims, judgments, and awards shall be limited to the lower of either reasonable or actual out of pocket costs incurred, including any costs associated with participation in this Contest but in no event attorneys' fees; and under no circumstances will Entrants/Winners be permitted to obtain awards for and Entrants/Winners hereby waive all rights to claim punitive, incidental and consequential damages and any other damages, other than for the lower of either reasonable or actual out-of-pocket expenses and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. If any provision of these rules is invalid under the law, rules or regulations of a particular country, it will only apply to the extent permitted. In addition to the tax liability disclosures in these Rules, Contest winners are subject to abide by the income reporting and, if applicable, the payment of any taxes due per the laws, rules and regulations of the winners’ country of residence. By entering and participating in the Contest, Entrants hereby expressly agree and accept that for all that is related to the interpretation, performance and enforcement of these Official Rules, each of them expressly submit themselves to the laws of the United States of America and the State of Delaware, expressly waiving to any other jurisdiction that could correspond to them by virtue of their present or future domicile or by virtue of any other cause.

12. PERSONAL DATA: Information collected from entrants is subject to Intel’s Privacy Policy, which can be found at http://www.intel.com/content/www/us/en/privacy/intel-privacy-notice.html. Administrator assures that your information will be kept confidential in accordance with data protection regulations fulfilling the applicable requirements of EU data protection law. Data will be stored in the United States and may be shared with a third-party fulfillment company only to administer this Contest, verify winners, and fulfill prizes unless you have given your prior express consent to receive additional information from Sponsor or a third party.

13. WINNERS: Winners will also be announced at 01.org/openvisualcloud and other Intel pages on/about 3/25/2021.

14. MISCELLANEOUS: The invalidity or unenforceability of any provision herein shall not affect in any way the validity and enforceability of any other provision in these Official Rules.
